Session 1: The Ins and Outs of Business Entities / Session 2: Capital Raises Made Easy: Convertible Debt

This is the second session in our four-part MAKING SENSE OF CAPITAL SERIES. Each session stands alone, so attend one or all four sessions.

Are you an entrepreneur who is thinking about raising capital, or are you an investor looking to learn more about investing in early stage companies? If so, this Equity Series is an excellent way for you to understand more about the ins & outs of this space! Register for one session, or all four—you’ll learn so much more about the things that matter for both the entrepreneur and the investor when it comes to raising money!

This is the second in a series of workshops to help entrepreneurs & investors learn more about the angel investment process. Investors will learn to make more well-examined investment decisions and entrepreneurs will learn to negotiate with confidence.


ABOUT THE SESSION

S1: The Ins and Outs of Business Entities

Understanding the differences between c-corporations, s-corporations, LLCs and partnerships and how to set right formation foundation for venture capital and exits (including QSBS, IP, and general counsel considerations).


S2: Capital Raises Made Easy: Convertible Debt

The differences between convertible notes, SAFEs, preferred equity, and crowdfunding and what the term sheet means to you as either an investor or a startup.

PRESENTER BIOS

CHRIS SIMPSON

Chris Simpson is a shareholder in Polsinelli’s Venture Capital and Emerging Growth Companies Practice Group. Chris advises companies at all stages of growth, from start-ups to ready-to-IPO/exit, helping them successfully raise capital, complete acquisitions and divestitures, and address day to day operative and commercial matters.

Venture Capital and Growth Equity: A significant portion of Chris’ practice is dedicated to working with entrepreneurs and early growth stage companies, and Chris has helped countless companies navigate their way through Series Seed, A and B fundraises to exit transactions.

Chris also counsels venture capital and growth equity funds in connection with their debt and equity financing investments in private companies.

General Outside Counsel: Chris works as general outside counsel to private companies, helping them with day-to-day legal guidance and larger strategic transactions.

AgTech, Food and Beverage, Tech and Life Sciences: Chris expertly advises agtech, food and beverage, tech and life science companies from start-up stage to public companies on various corporate matters including negotiating investments, mergers and acquisitions, strategic collaborations and joint ventures and public offerings.

Cross-Border Experience: A large portion of Chris’ experience has involved cross-border transactions in the life sciences and agtech space, including cross-border acquisitions, financings, joint ventures and collaborations.

Before Polsinelli, Chris practiced at Choate, Hall & Stewart, LLP in Boston Massachusetts.


LAURA VENN

As an associate in the Venture Capital and Emerging Growth Companies practice, clients rely on Laura Venn to provide a wide range of business-focused legal solutions during all stages of growth. She advises entrepreneurs, startups and high growth companies throughout their life cycles, helping clients raise capital, execute acquisitions and divestitures and comply with regulatory requirements. Prior to joining Polsinelli, Laura was an associate for three years for an international law firm.
